MODEL RELEASE AND AUTHORIZATION TO PHOTOGRAPH

This will confirm the understanding between ____________________________________ (“you” or “your”) and hLOVErheu Photography, (the “Publisher”), regarding any and all photographs and video taken of you, or photographs and video in which you may be included with others (the “Photographs”).

Grant of Rights
For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, you hereby grant the Publisher the right to use your name, portrait and likeness, and the right to publish, use and reuse, edit, modify, crop, repurpose, combine with other materials, reproduce, distribute, broadcast, transmit, prepare derivative works of, publicly display, and otherwise exploit the Photographs and all subsidiary and ancillary rights therein and thereto, either by themselves or in conjunction with other photographs, in any medium or form of distribution, for any purposes whatsoever, including, without limitation, all promotional and advertising uses, throughout the universe in perpetuity, provided that nothing shall obligate the Publisher to use your name and likeness and/or to publish the Photographs. You hereby waive the right to inspect or approve any use of the Photographs and release the Publisher from any claims you or any person claiming through you may have against the Publisher at any time relating to the Photographs and/or the exploitation of the rights granted to the Publisher hereunder.

Ownership
The Publisher shall own all rights, under copyright and otherwise, in and to the Photographs, and all elements thereof. To the extent copyright does not so vest in the Publisher, you hereby assign and transfer to the Publisher all right, title and interest in the Photographs with the right to exploit all rights therein, throughout the universe, in perpetuity, in all media now known or hereafter devised, without further payment to you.

Representations and Warranties
You represent and warrant that (i) you have the full legal right, power and authority to enter into this Release and to grant the rights hereunder; and (ii) you are over eighteen (18) years of age.

Miscellaneous
The Publisher may assign this Agreement (including the Publisher’s rights and obligations) to any third party. This Agreement will be governed by the laws of the State of New Hampshire applicable to agreements made and to be entirely performed therein and may not be modified except in a writing signed by you and the Publisher. The rights granted to the Publisher hereunder are irrevocable; in no event shall you have the right to seek injunctive relief or to enjoin or restrain or otherwise interfere with the publication, distribution or other exploitation of the Photographs or the exercise of any rights granted to us herein.
